Our Bylaws

Bylaws revised October 11, 2017
Article I

The name of the organization shall be “Watercolor Artists Of Sonoma County (WASCO)”

Article II

The purpose of WASCO is to educate the public of the many values of watercolor and water media and to escalate the acceptance of watercolor as an art form that should be sought and treasured along with other contemporary art forms.

Article III-Membership

Section 1.

(A) Total active membership shall be limited to 200.
(B) The membership shall consist of members who have paid their current yearly dues, Lifetime, and Nonagenarians.

Section 2.

(A) The annual dues for the following year shall be recommended by the Executive Board and, if changed, voted on by the membership at the November meeting.

(B) Dues are to be paid to the Membership Chairperson either by mail or in person. Membership is renewable by the January meeting and due no later than the March meeting.

(C) All members will pay $50 for dues. Exceptions are Lifetime members who have performed exceptional service and nonagenarians who are exempt from paying dues.

Article IV-Officer Election

Section 1

The officers shall be as follows: President, First Vice President, Second VicePresident, Secretary and Treasurer.

Section 2.

(A) Officers shall be elected at the November meeting and shall serve for one year after assuming office in January.

(B) The current Board shall act as a Nominating Committee and present a slate of officers at the October meeting. At that time other nominations may be accepted from the membership. The slate will be sent to members via email. Election at the November meeting requires a simple majority vote from members in attendance and if there are no nominations from the floor, the slate may be accepted by acclamation.

Section 3.

If a board member must resign for any reason, it must be presented to the Board in writing. A vacancy will be filled by the board.

Article V-Meeting

The regular meeting shall be held at 1:00 pm on the second Thursday of the month.

Article VI-Duties of Officers

Section 1. The PRESIDENT shall preside at all meetings and shall be Chairperson of the Executive Board. The President shall appoint and all Chairpersons as needed.

Section 2. The First Vice-President shall preside in the absence of the President.

Section 3. The Second Vice-President shall be in charge of programs and workshops.

Section 4. The Secretary shall keep a correct record of meetings of the Executive Board and shall conduct the correspondence of WASCO.

Section 5. The Treasurer shall be in charge of the funds of WASCO and shall submit financial reports to the board.

Article VII-Email Addresses

Section 1. A current email is required for each member.

Section 2. Email addresses will not be given to any other individual or organization.

Section 3. WASCO email address is RaeAnn218@comcast.net. Any member or nonmember wishing to address WASCO members must send the information to the Secretary and it will be sent out to the membership.

Article XIII-Quorum

A quorum is necessary for the transaction of business and shall consist of 20 members present.

Article X-Amendments

Proposed change(s) to the bylaws must be presented to the President in writing. If the proposed change(s) benefits WASCO the change(s) will be read to members at the next meeting and be sent out in an email. A reading of the change(s)and voting will occur at the next meeting. A two-thirds majority of votes by the members present is required for passage of the change(s).
 
I have read the WASCO Bylaws and I fully understand my duties and limitations as an Officer of WASCO and I fully realize that not complying my result in my removal from the office deemed necessary by the WASCO Executive Board.
